These terms apply to your use of spoilednyc.com (spoiled NYC), operated by Spoiled Media LLC (we, us, or our). By using the site, you agree to these terms. If you do not agree, stop using the site. For questions about these terms, email info@spoiledmedia.com.

Using the site and our content

You may read the site, share links to our stories, and use sharing features or RSS feeds that we make available. Keep any attribution, links, and copyright notices intact. To reproduce, distribute, adapt, or commercially use content, obtain permission from the relevant rights holder unless a separate license or applicable law permits that use. Contact us about republication or licensing requests.

Do not interfere with the site, bypass access or security controls, introduce malicious code, impersonate someone else, or use the site for unlawful purposes. Do not use automated tools to scrape or collect site content or personal information without our permission, except as permitted by applicable law.

Pitches, messages, and contributions

When you send a pitch, correction, message, or other material, you retain the rights you hold in that material. You give us permission to receive, store, review, and respond to it for the purpose for which you sent it. Sending a pitch or inquiry does not give us a general license to publish your work or use it in advertising.

Send only material that you own or are authorized to share. Do not send unlawful, defamatory, threatening, or infringing material, or disclose someone else's private information without permission.

Contributor pitches are handled through the Write with Us page. We offer $50 per explicitly commissioned short New York story, with no guaranteed assignment volume. A pitch is not a commission. We agree a brief, deadline, and terms in writing before work begins. A separate contributor or licensing agreement governs any rights granted for publication.

Copyright and image rights

Copyright in site content belongs to its respective rights holders. Use of images and other material requires permission, a license, public-domain status, or an applicable legal exception. A work does not become free to use merely because it appears online, is widely shared, or is displayed at a small size. Fair use depends on the circumstances of each use.

If you believe material on this site infringes your copyright, email info@spoiledmedia.com with the subject "Copyright concern." Include:

Your name and contact information, including an email address and a mailing address or telephone number.
Identification of the copyrighted work and the exact URL of the material you want us to review.
A statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
A statement that the information you provide is accurate and, under penalty of perjury, that you own the relevant rights or are authorized to act for the owner.
Your physical or electronic signature.

We will review the concern and may request information needed to assess it. You do not need to attach a signed PDF or provide a copyright registration certificate to contact us. We may remove or restrict access to material while reviewing a concern. This contact process does not limit any rights or remedies available under applicable law.

Privacy and email

Our Privacy Policy explains how we handle site data, inquiries, and newsletter requests. Sending an inquiry or a pitch does not subscribe you to a newsletter. Newsletter signup is paused. You can unsubscribe through the link in newsletter emails.

The site is not directed to children under 13. We do not knowingly collect personal information from children under 13. If you believe a child has provided personal information, contact us so we can review and address it.

Third-party sites, offers, and promotions

Our stories may link to businesses, venues, ticket sellers, and other third-party sites. Those parties control their own services, prices, availability, and terms. Check details with the provider before making plans or a purchase. A link alone does not establish an endorsement or commercial relationship.

Any advertising services, commissioned work, or other paid services require a separate agreement confirming scope and terms. Any giveaway or contest we run is governed by the rules published for that promotion.

Availability and disclaimers

We may change, suspend, or discontinue the site or parts of it. Stories reflect information available when published, and details can change. To report an error, use our Contact page or email info@spoiledmedia.com.

To the fullest extent permitted by applicable law, the site and its content are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the site will be uninterrupted, secure, error-free, or free of harmful components, or that all content will be accurate or complete.

Liability

To the fullest extent permitted by applicable law, Spoiled Media LLC and its owners, employees, contributors, and service providers will not be liable for direct, indirect, incidental, special, consequential, or exemplary damages arising from use of, or inability to use, the site. This includes loss of profits, data, or goodwill. Nothing in these terms excludes or limits liability or consumer rights that cannot lawfully be excluded or limited.

Governing law and disputes

These terms are governed by the laws of the State of New York, subject to any mandatory rights under applicable law. The parties will make a good-faith effort to resolve a dispute through mediation within 30 days after it is raised. If six hours of mediation do not resolve the dispute, or mediation does not take place, the dispute will be resolved by binding arbitration administered by JAMS in New York, New York, under its applicable rules, except where applicable law provides otherwise. We may seek urgent court relief to protect intellectual property or other rights.

If a provision is unenforceable, the remaining provisions continue to apply. These terms govern use of the site; a separate written agreement governs any contribution, license, or service covered by that agreement.
